SP ZeroFinance Rewards Partner Agreement This Rewards Partner Agreement (“Agreement”) is entered into as of the date the Partner’s enrollment is accepted by SP ZeroFinance (“SP”), by and between SP and the Partner identified by joining SP’s rewards program (“Partner”). Recitals WHEREAS, SP is launching the ZeroFinance Rewards Program to empower communities through ethical finance, connect consumers with values-driven businesses, and promote responsible financial practices; WHEREAS, the Partner wishes to join the ZeroFinance Rewards Program in order to gain exposure to new customers, benefit from SP’s advertising and marketing, and offer unique incentives to SP customers as described herein; NOW, THEREFORE, the parties agree as follows: 1. Rewards Program Participation and Offer a) The Partner shall provide the reward(s) or incentive(s) described during signup (the “Reward”) exclusively to SP ZeroFinance customers. b) The Reward must not be provided if the customer is not a SP ZeroFinance customer. The Partner is solely responsible for verifying customer eligibility. c) SP will feature the Partner’s business on its website, social media, and in other advertising channels as part of the ZeroFinance Rewards Program. SP may refer clients and promote Partner’s offerings at its discretion. 2. Minimum Term and Commitment a) This Agreement shall remain in force for an initial minimum term of six (6) months from the Effective Date (“Initial Term”). b) During the Initial Term, neither party may terminate this Agreement except for material breach or as required by applicable law. c) Upon expiration of the Initial Term, this Agreement shall terminate unless the parties agree in a written, signed amendment to extend or renew it. 3. No Upfront Cost a) There are no upfront fees or payments required from the Partner to participate in the ZeroFinance Rewards Program. Participation is intended to be low-risk and designed to generate measurable results and community impact. 4. Partner Responsibilities a) Partner must ensure all staff understand the requirements of this program and only provide Rewards as set forth in Section 1. b) The Partner is responsible for keeping their business information and reward offers up to date with SP. 5. Miscellaneous a) This Agreement, including the offer terms submitted by the Partner during signup, constitutes the entire agreement between the parties and supersedes prior discussions or representations. b) This Agreement is governed by the laws of the State of Florida, without regard to its conflict of laws rules. c) Neither party may assign this Agreement without written consent, except in connection with a merger or sale of substantially all assets. d) Any dispute arising under this Agreement shall first be subject to good faith negotiation. If unresolved, the parties agree to attempt mediation in Seminole County, Florida. If still unresolved, any binding arbitration (if agreed by the parties) shall have its seat in Seminole County, Florida. For any court proceedings to compel or enforce mediation/arbitration or to seek provisional or injunctive relief, the parties consent to the exclusive jurisdiction and venue of the state courts located in Seminole County, Florida. e) Any amendments must be in writing and signed by both parties. f) Each party shall indemnify and hold harmless the other party from any claims, damages, or liabilities arising out of their respective acts or omissions under this Agreement.
